Terms of Service

2.1. Service Overview: Tnote.ai is an "md2card" tool designed to convert user-provided content, including but not limited to Markdown documents, website content, and personal notes, into visually engaging and shareable "visual knowledge cards." The Service offers features such as one-click import and a variety of themes to enhance content presentation.

2.2. Credits and Memberships: Users may acquire "Credits" to generate specific content outputs within the Service and may subscribe to various "Memberships" for additional features and benefits.

2.3. Service Modifications: We reserve the right to modify, update, suspend, or discontinue any aspect of the Service, including its features, pricing, and availability, at our sole discretion, without prior notice or liability.

3.1 Account Creation

To access certain features of the Service, you may be required to register for an account. You may register using either your Google account or an email address:

• • If you choose Google login, we will collect your Google email address and username.
• • If you choose email registration, we will collect your email address and a password that you create. You are solely responsible for safeguarding your password and for any activities or actions under your account.

3.2. Accuracy of Information: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.3. Account Security: You are solely responsible for maintaining the confidentiality of your account login credentials (username and password) and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

3.4. Email Verification: If you register using an email address, you may be required to verify your email address through a confirmation link sent to the provided email address. Failure to verify your email may limit your access to certain Service features.

4.1. Data Collection and Usage: Your privacy is important to us. We collect and use your personal information, including your Google email, username, and data from Google's analytics platform, in accordance with our Privacy Policy. Our Privacy Policy outlines how we collect, use, disclose, and protect your information.

4.2. Privacy Policy Reference: By using the Service, you acknowledge that you have read, understood, and agree to the terms of our Privacy Policy, which is incorporated into these Terms by reference. We encourage you to review our Privacy Policy periodically for any updates.

5.1. Ownership of User Content: You retain all ownership rights in and to the content you create, upload, post, or otherwise make available through the Service ("User Content").

5.2. License Grant: By submitting, posting, or displaying User Content on or through the Service, you grant Genora PTE. LIMITED. a non-exclusive, royalty-free, worldwide, transferable, sublicensable, perpetual, and irrevocable license to use, display, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with the operation and improvement of the Service, as well as for promotional and marketing purposes, in any media formats and through any media channels.

5.3 Content Guidelines

You agree not to create, upload, post, transmit, or otherwise distribute any User Content that:

• • Is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable
• • Infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party
• • Contains unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation
• • Contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment

5.4. Content Monitoring and Removal: We reserve the right, but are not obligated, to monitor, review, edit, or remove any User Content, at our sole discretion, if it violates these Terms or is otherwise objectionable.

6.1. Company Rights: All rights, titles, and interests in and to the Tnote.ai Service, including but not limited to its software, algorithms, technology, user interface, design, trademarks, service marks, logos, and all other content (excluding User Content), are and will remain the exclusive property of Genora PTE. LIMITED. and its licensors. Our intellectual property may not be used in connection with any product or service without the prior written consent of Genora PTE. LIMITED.

6.2. User Content Representation: By providing User Content, you represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize us to use all patent, trademark, trade secret, copyright, or other proprietary rights in and to any and all User Content to enable inclusion and use of the User Content in the manner contemplated by the Service and these Terms.

7.1. Credits: Users may purchase "Credits" for the generation of specific content outputs within the Service. The cost and functionality of Credits will be detailed on the Service. Credits are subject to our Refund Policy.

7.2. Memberships: Tnote.ai offers various subscription-based memberships (e.g., monthly and yearly). Membership fees are billed in advance on a recurring and periodic basis (e.g., monthly or annually), depending on the subscription plan you select.

7.3. Automatic Renewal: Your Membership will automatically renew at the end of each billing period unless you cancel it or Genora PTE. LIMITED. cancels it. You will be billed for the next billing period in advance of the renewal date.

7.4. Cancellation: You may cancel your Membership renewal at any time through your account settings or by contacting our support team. Cancellation will take effect at the end of the current paid-for billing period, and you will not be charged for the subsequent period.

7.5. Payment Security: All transactions are processed by secure third-party payment processors. We do not store your payment card details on our servers.

8.1. General Policy: All purchases made on Tnote.ai are subject to our refund criteria. Our commitment is to ensure fairness and satisfaction in processing refund requests.

8.2. Credit Refunds: Refund requests for unused Credits purchased on Tnote.ai may be considered on a case-by-case basis if submitted within fourteen (14) days of the purchase date. Credits are generally non-transferable.

8.3. Membership Refunds: Requests for Membership refunds must be submitted within seven (7) days of the initial purchase or the latest renewal date. Approved refunds will be processed to the original payment method used for the transaction.

8.4. How to Request a Refund: To request a refund, please contact our support team at hi@tnote.ai with your order details, including the transaction ID, date of purchase, and a clear reason for your refund request.

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Genora PTE. LIMITED. does not warrant that:

• • The Service will function uninterrupted, secure, or available at any particular time or location
• • Any errors or defects will be corrected
• • The Service is free of viruses or other harmful components
• • The results of using the Service will meet your requirements

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will endeavor to provide at least thirty (30) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

14.1. By User: You may terminate your account at any time by contacting our support team at hi@tnote.ai. Upon termination, your right to use the Service will immediately cease.

14.2. By Company: We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

14.3. Effect of Termination: Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles.

15.2. Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall be settled by arbitration in accordance with the rules of the Singapore International Arbitration Centre (SIAC). The seat of the arbitration shall be Singapore. The language of the arbitration shall be English.
